Terms of Service

1. Acceptance of Terms

By accessing and using Rig Flip ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Rig Flip. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Rig Flip is a web-based software application designed to help PC flippers and computer parts resellers track their inventory, manage costs, and calculate profit margins. The Service includes:

  • Inventory management for PC parts and components
  • Sales tracking and profit calculation
  • Build configuration management
  • Cost basis tracking (purchase price, fees, shipping)
  • Sales channel management with configurable fee percentages
  • Data export functionality (CSV)
  • Multi-currency support

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

To use the Service, you must create an account through our authentication provider, Clerk. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Be at least 18 years old or have parental consent

You are solely responsible for maintaining the confidentiality of your account information. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or distribute malicious code or harmful content
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any illegal activity or fraudulent purpose
  • Scrape, data mine, or use automated systems to access the Service without permission
  • Impersonate any person or entity
  • Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to suspend or terminate your account if you violate these acceptable use terms.

5. Subscription and Billing

Rig Flip offers both subscription-based and lifetime access pricing options. Detailed pricing information is available on our pricing page.

Subscription Plans

Subscription plans are billed on a recurring basis (monthly or annually) and automatically renew unless cancelled. By subscribing, you authorize us to charge your payment method for the subscription fee and any applicable taxes.

Lifetime Access Plans

Lifetime access plans are charged as a one-time payment and provide perpetual access to the Service, subject to these Terms.

Payment Processing

Payments are processed securely through Dodo Payments and Stripe. You agree to provide current, complete, and accurate payment information and to update this information promptly if it changes.

Refunds

Refunds are available within 14 days of purchase for any reason

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6. Intellectual Property

The Service, including all content, features, functionality, design, code, and materials, is owned by Rig Flip and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license does not include any rights to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer or decompile the Service
  • Remove or alter any proprietary notices
  • Use the Service for commercial purposes beyond your own business

All data you enter into the Service (inventory, sales, builds) remains your property. You retain all rights to your data and can export it at any time.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

You are responsible for the accuracy and legality of any data you enter into the Service. You represent and warrant that you have all necessary rights to provide such data to us.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or data provided through the Service.

You acknowledge that profit calculations provided by the Service are estimates based on data you provide and may not reflect actual tax obligations or accounting requirements. You are solely responsible for maintaining accurate financial records and complying with applicable tax laws.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIG FLIP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Rig Flip and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your data or content submitted to the Service

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Abuse of the Service or other users

Upon termination, your right to use the Service immediately ceases. We may, but are not obligated to, delete your account data. You should export any data you wish to retain before termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or the Service shall be resolved in the courts of Berlin, Germany.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rig Flip regarding the Service and supersede all prior agreements and understandings.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
